TERMS OF SERVICE AGREEMENT
Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the General Technologies Inc. website (the “Service”) operated by General Technologies Inc. (“General Technologies”, “us”, “we”, or “our”).
Your (“you”, “user”, “users,” or “visitor”) access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DISAGREE WITH ANY PART OF THE TERMS, THEN YOU MAY NOT ACCESS THE SERVICE.
- ACCEPTANCE OF TERMS. This Agreement outlines the terms and conditions governing your use of the General Technologies software, content, and online services (collectively, the “Service”). General Technologies may modify this Agreement at any time without prior notice, and your continued use of the Service constitutes your acceptance of any changes.
- PRIVACY COMPLIANCE (PIPA). General Technologies is committed to protecting your personal information in compliance with the Personal Information Protection Act (PIPA) of British Columbia. We collect, use, and disclose your personal information solely for the purpose of providing our Service. Our privacy management program ensures the safeguarding of personal information, and we take appropriate steps to address any data breaches. - DESCRIPTION OF SERVICE. The Service allows authorized users to access features that facilitate the use of our AI-powered technologies, intended to improve workflows and increase productivity. By using our Service, you agree to adhere to all policies and guidelines provided herein.
- CUSTOMER OBLIGATIONS.
4.1 Fair Use: You agree to use the Service in a fair and lawful manner. You must not engage in activities that disrupt or degrade the functionality of the Service for others. Any activity considered to be fraudulent, deceptive, or harmful may result in suspension or termination of access.
4.2 Personal Information: You are required to provide accurate personal information during registration. Any false information may result in termination of your account.
4.3 Access and Use: Users are responsible for maintaining the confidentiality of their login credentials, ensuring that only authorized personnel use the Service in accordance with this Agreement. Users must not reverse-engineer, decompile, or otherwise attempt to discover the source code, underlying structure, or algorithms of the Service or any associated software.
4.4 SAAS Services and Support: Subject to the terms of this Agreement, General Technologies will use commercially reasonable efforts to provide the Services and reasonable technical support services related to the Services.
4.5 Restrictions and Responsibilities: Users will only access the Services in compliance with this Agreement. Users will not, directly or indirectly, reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, or create derivative works based on the Services or any related software.
- BUSINESS PRACTICES AND CONSUMER PROTECTION ACT (BPCPA) COMPLIANCE.
5.1 Fair Trading: General Technologies shall not engage in any unfair or deceptive practices that may mislead you.
5.2 Product Representation: All information, including marketing and advertising materials, shall be truthful and transparent. All fees, terms, and conditions will be disclosed to you in an open and accessible manner.
5.3 Contract Transparency: All contract terms will be presented in plain language, ensuring transparency and fairness. We do not include hidden clauses or fees that could be detrimental to you.
- USER CONDUCT.
6.1 Acceptable Use: Users must use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit others’ use of the Service.
6.2 Prohibited Activities: The following activities are prohibited:
- Harvesting or collecting information from other users without consent.
- Impersonating another person or entity.
- Engaging in fraudulent or deceptive behavior.
- ARBITRATION AND GOVERNING LAW.
All disputes arising out of or relating to this Agreement shall be resolved through arbitration in accordance with the British Columbia International Commercial Arbitration Centre Rules. The place of arbitration shall be Vancouver, BC, and the governing law shall be the laws of British Columbia and the federal laws of Canada applicable therein. The language of arbitration will be English. Users waive their right to participate in class actions or jury trials. - INTELLECTUAL PROPERTY RIGHTS.
8.1 Content Ownership: All content provided through the Service, including text, graphics, logos, and other materials, is the exclusive property of General Technologies and is protected under Canadian and international intellectual property laws.
8.2 User Generated Content: By submitting content through the Service, you grant General Technologies a royalty-free, perpetual, irrevocable, non-exclusive right to use, modify, and distribute such content for the purpose of providing the Service.
8.3 Derived Data: General Technologies shall own all right, title, and interest in and to any data, byproducts, or results derived from your use of the Service, provided that such use complies with our Privacy Policy and applicable data protection laws.
- LIABILITY DISCLAIMER.
9.1 No Warranty: The Service is provided on an “as is” and “as available” basis, without any warranties, representations, or conditions of any kind. General Technologies makes no guarantee regarding the accuracy, reliability, or availability of the Service. You are responsible for your own use of the Service and must exercise caution.
9.2 Limitation of Liability: Notwithstanding anything to the contrary, General Technologies and its suppliers, officers, affiliates, representatives, contractors, and employees shall not be responsible or liable under any contract, negligence, strict liability, or other theory for: (a) any error or interruption of use or for loss or inaccuracy or corruption of data or cost of procurement of substitute goods, services, or technology; (b) any indirect, exemplary, incidental, special, or consequential damages; (c) any matter beyond General Technologies’ reasonable control; or (d) any amounts that exceed the fees paid by you for the Services under this Agreement in the 12 months prior to the act that gave rise to the liability.
- TERMINATION.
General Technologies may terminate or suspend your access to the Service at any time, with or without cause. Users may also terminate their use of the Service by providing 30 days’ written notice. Termination does not absolve users of any outstanding obligations under this Agreement. - CONFIDENTIALITY.
Each party (the “Receiving Party”) understands that the other party (the “Disclosing Party”) has disclosed or may disclose business, technical, or financial information relating to the Disclosing Party’s business (“Proprietary Information”). The Receiving Party agrees to take reasonable precautions to protect such Proprietary Information and not to use or divulge it to third parties except as required to provide the Service. - INDEMNIFICATION.
You agree to indemnify and hold General Technologies, its officers, directors, agents, employees, and affiliates harmless from any claims, damages, losses, liabilities, settlements, and expenses (including without limitation costs and attorney’s fees) arising out of or related to their use of the Service, or any violation of these Terms. - LINKS TO OTHER WEBSITES.
The Service may contain links to third-party websites or services that are not owned or controlled by General Technologies. General Technologies has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Users acknowledge and agree that General Technologies shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services. - ACCOUNTS.
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account. You are responsible for safeguarding your account password and for any activities or actions under your password, whether your password is with our Service or a third-party service. - MISCELLANEOUS.
15.1 Assignment: General Technologies may assign its rights and obligations under this Agreement without your consent. Users may not assign their rights without prior written approval from General Technologies.
15.2 Entire Agreement: This Agreement, along with our Privacy Policy, constitutes the entire agreement between the user and General Technologies. Any modifications must be agreed to in writing by both parties.
15.3 Governing Law: This Agreement shall be governed by the laws of British Columbia and the federal laws of Canada, without regard to conflicts of law provisions. The parties agree to the exclusive jurisdiction of British Columbia for all matters arising under this Agreement.
